1. Agreement to Terms

By accessing or using the services provided by FIRVID ("we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access or use our services.

2. Services Description

FIRVID is a full-stack digital agency providing the following services:

• Web development and design
• UI/UX design and prototyping
• Mobile application development
• Brand identity and logo design
• Digital marketing and SEO
• AI-powered solutions and integrations

3. Project Engagement

3.1 Proposal and Agreement

All projects begin with a detailed proposal outlining scope, timeline, deliverables, and pricing. Work commences upon signed agreement and initial payment (typically 50% deposit).

3.2 Revisions

Our standard packages include a specified number of revision rounds. Additional revisions beyond the agreed scope may incur additional charges.

3.3 Timeline

Project timelines are estimates based on the scope defined in the proposal. Delays caused by client feedback, content provision, or scope changes may extend the timeline.

4. Payment Terms

4.1 Pricing

All prices are quoted in USD unless otherwise specified. Quotes are valid for 30 days from the date issued.

4.2 Payment Schedule

• 50% Deposit: Due upon project commencement
• 25% Progress Payment: Due at midpoint milestone
• 25% Final Payment: Due before final delivery

4.3 Late Payments

Late payments may incur a 5% monthly service charge. Work may be paused on accounts with overdue balances exceeding 30 days.

5. Intellectual Property

5.1 Ownership Transfer

Upon full payment, ownership of final deliverables transfers to the client. FIRVID retains the right to display completed work in our portfolio and promotional materials unless otherwise agreed in writing.

5.2 Third-Party Assets

We may use licensed third-party assets (fonts, images, plugins) in our work. Where applicable, appropriate licenses will be obtained. Clients are responsible for ongoing licensing fees for third-party services they choose to maintain.

6. Confidentiality

We respect the confidentiality of your business information. Any proprietary information shared during the project will be kept confidential and not disclosed to third parties, except as required by law or with your explicit consent.

7. Limitation of Liability

FIRVID shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability shall not exceed the amount paid by the client for the specific project giving rise to the claim.

8. Termination

Either party may terminate the project with written notice. Upon termination:

• Client pays for all work completed up to termination date
• Partial work and source files will be delivered as-is
• Deposits are non-refundable but may be applied to future projects

9. Warranty and Support

9.1 Warranty Period

We provide a 30-day warranty period after project delivery to fix any bugs or issues at no additional cost. This warranty covers functionality as specified in the project agreement.

9.2 Ongoing Support

Maintenance and support packages are available separately. Support requests outside the warranty period or scope will be billed at our standard hourly rate.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of New York. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in NYC, USA.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new Terms.
